LARYA Contest “Un bijou pour toi – Instagram Contest” (the “Contest”) – Official Rules

NO PURCHASE NECESSARY TO ENTER THE CONTEST OR WIN ANY OF THE PRIZES.

The Contest is in no way organized, endorsed, sponsored or administered by or in association with Instagram. You understand that you are providing your information to the Contest Organizer (defined below) and not to Instagram. The information provided will be used solely for the purposes of administering the Contest and in accordance with the Contest Organizer's Privacy Policy. Instagram is released from all liability by each entrant in the Contest. Any questions, comments or complaints regarding the Contest should be directed to the Contest Organizer and not to Instagram.

Contest Organizer:

The Contest is organized by LARYA – Imagine 3D inc. (the “Contest Organizer”).

Duration of the Contest:

The Contest begins at 9:00 a.m. Eastern Time (“ET”) on April 7, 2021 and ends at 11:59 p.m. ET on April 13, 2021 (the “Contest Period”). Any entries received after the expiration of the Contest Period will not be eligible for the purposes of the Contest. The sole determining factor for the validity of an entry will be the date and time of submission on the server(s) used by the Contest Organizer in connection with the Contest.

Competition Eligibility:

The Contest is only open to legal residents of Canada who are eighteen (18) years of age or older at the time of their entry into the Contest. You are not eligible to enter the Contest if you are (or cohabit with) an employee, officer, director, representative, agent, consultant or prize supplier of the Contest Organizer or any its affiliates, licensees, franchisees or subsidiaries (collectively the “Contest Entities”). The Contest Organizer reserves the right to verify the eligibility of potential winners.

How to participate:

No purchase necessary to enter the Contest. To enter the Contest and have a chance to win one of the Prizes (defined below), you must during the Contest Period:

1. Have a valid Instagram account;

2. Visit the official LARYA Instagram account (https://www.instagram.com/larya.ca/);

3. Like the official Instagram page of LARYA;

4. Answer in comment what you want to highlight with this jewel from the ÉCHELLE collection;

5. Identify in comments one or more people who would like LARYA jewelry;

6. Comply with Instagram's Terms of Service.

Each participant certifies and declares that any comment he may submit in the context of the Contest will respect the following submission criteria:

(i) It must be related to the subject of the Contest (see paragraph (3) of the “How to participate” section) and must answer the question asked in the publication published by the Contest Organizer;

(ii) It does not violate any law, act, ordinance or regulation; And

(iii) Is not in any way defamatory, commercially libelous, pornographic or obscene, and further does not contain, include, refer to or encompass, without limitation, any of the following :

• obscenity;
• nudity;
• explicit, implicit, graphic or excessive sexual activity;
• crude, vulgar or offensive language;
• derogatory depictions of any ethnic, racial, sexual or religious group;
• content that endorses, condones or concerns any illegal, inappropriate or risky activity, conduct or behavior;
• personal information about individuals, including but not limited to names, addresses (postal or electronic), telephone and fax numbers;
• behavior or other activity that violates the provisions of these rules;
• commercial messages, comparisons or solicitations for products or services;
• URL addresses or links of any website; And
• any other content that is or may reasonably be deemed to be inappropriate, incorrect or objectionable, as determined by the Contest Organizer in its sole discretion.

In addition, by entering the Contest, each entrant, whether or not selected as a winner: (i) grants to the Contest Organizer, in perpetuity, the non-exclusive right to publish, display, reproduce , modify, edit, translate or otherwise use the Comment, in whole or in part, for any reason; (ii) waives all moral rights in the Comment in favor of the Contest Organizer; and (iii) agrees to release and hold harmless the Released Parties (as defined below) from any and all claims based on publicity rights, allegations of defamation, infringement of privacy, copyright, trademark or other intellectual property cause of action. In addition, by submitting the comment, each participant agrees that the Contest Organizer has the right, but not the obligation, to display, without compensation or notice, such comment, in whole or in part, as is or as they may be redesigned, as well as the entrant's name and city of residence on the LARYA website, in promotional booklets or materials, promotional emails, and in any other online, broadcast or print media , as chosen by the Contest Organizer in its sole discretion.

By submitting their entry to this Contest, each entrant agrees to be bound by these Official Contest Rules which are available on LARYA's official Instagram account.

The Contest Organizer reserves the right to disqualify from the Contest any comments and any entrants that, in its sole and absolute discretion, violate the conditions set forth in these Official Rules. The Contest Organizer reserves the right to first screen all comments and also reserves the right, in its sole and absolute discretion, to modify, edit, translate or remove any comments submitted as part of the Contest, or to request an entrant to modify or edit the Comment so that it conforms to these Official Rules, or for any other reason whatsoever. Any Comment that does not comply with the provisions of these Official Rules will be disqualified, and the entrant who submitted such Comment will not be eligible to win any of the Prizes (defined below).

Entries produced by script, macro command, robotic reproduction, programming or any other automated means are prohibited and will be subject to disqualification by the Contest Organizer. All entries are subject to verification. The Contest Organizer reserves the right, in its sole and absolute discretion, to require, in a form acceptable to the Contest Organizer, proof of identity and eligibility for the Contest from any Contest entrant. Failure to present such proof within the required time may result in the disqualification of said participant.

Odds of winning:

The odds of winning one of the Prizes (defined below) depend on the number of eligible entries received during the Contest Period.

Price:

There is one (1) prize (the "Prize") available to be won in the Contest, which consists of one (1) (INTENT) pendant in 18k yellow gold with 18 inch chain valued at one thousand three hundred and ninety dollars ($1,390).

The total value of the Prize offered within the framework of the Contest is one thousand three hundred and ninety dollars ($1,390). The Prize is non-transferable except by the Contest Organizer. The Prize cannot be used in conjunction with any other promotions or offers. The Prize cannot be replaced or redeemed; however, the Contest Organizer reserves the right, at its sole discretion, to replace the Prize or any component thereof with another prize/component of equal or greater value.

Prints:

The eventual winner will be drawn on Wednesday, April 14, 2021 at 10:00 a.m. ET from among all entries received during the Contest Period. The draws will take place in Montreal, province of Quebec. Within twenty-four (24) hours following the date of the draws, the eventual winner will be contacted through the private messaging of his personal Instagram account provided during his participation in order to be informed that he is eligible for winning the Prize (the “Prize Notification”). If any potential winner fails to respond to or act on the Prize Notification within forty-eight (48) hours or fails to comply with these Official Rules, then that winner will be disqualified and an alternate potential winner will be chosen at random. Any return of Prize Notification that cannot be delivered may result in disqualification and an alternate winner may be drawn.

How to win:

To be declared as one of the Contest winners and receive their prize, the eventual winner must complete and sign the Prize Acceptance and Publicity Release Form required by the Contest Organizer before receiving their prize. The potential winner may also be required to present proof of valid photo identification. If the potential winner is unable to provide such proof of valid photo identification, he/she may, at the sole discretion of the Contest Organizer, be disqualified and an alternate potential winner may be selected at random. .

Disclaimer and Exclusion of Liability:

The Contest Entities are not responsible for any errors, including typographical errors, in the offer or administration of the Contest, including, but not limited to, errors in the printing or display of the offer or official rules, sweepstakes, announcement of any winner or distribution of any prize.

The Contest Organizer reserves the right, subject only to the approval of the Régie des alcools, des courses et des jeux du Québec (the "Régie"), to cancel, modify or suspend the Contest (or 'amend these Official Rules), in any way, due to any error, technical problem, computer virus, bug, tampering, unauthorized intervention, fraud, technical malfunction or other cause reasonably beyond the Contest Sponsor's control that compromises the security or proper conduct of the Contest in accordance with these Official Rules. The Contest Organizer, with the consent of the Régie (if applicable), also reserves the right to cancel, modify or suspend the Contest (or to amend these official rules), without prior notice or obligation , in the event of an accident, a printing error, an administrative error or any other error of any nature whatsoever, or for any other reason and this, without incurring its liability towards anyone including the participants in the Contest.

By entering the Contest, each entrant acknowledges that the Contest Entities shall not be liable for any loss or injury, of any nature whatsoever, which may arise from the acceptance, possession and use or misuse of the Prize awarded and each entrant hereby agrees to hold harmless and release the Contest Entities as well as their respective successors, assigns, agents, employees, representatives, officers, directors and shareholders (collectively the “Released Parties”) for any form of claim, damages or liability resulting in whole or in part, directly or indirectly, from his participation in the Contest and agrees that he will not be able to take any action against the Released Parties or against any entity that may claim compensation or indemnity of the Contest Entities resulting from his participation in the Contest, and in the event that such entrant is declared a winner of the Contest, from his acceptance, possession and use or misuse of the Prize.

The Released Parties also decline all responsibility for any failure that may occur on the official LARYA Instagram account, any problem or technical malfunction of networks or telephone lines, online computer systems, servers, access providers , computer equipment, software, failure to transmit entries to be received by the Contest Organizer due to technical problems or congestion on the Internet, any website including the Site, or any combination thereof who is before.

In the event of a dispute as to the identity of the person who submitted an entry, it will be deemed to have been submitted by the authorized holder of the Instagram account used when entering the Contest. Any Contest entrant may be required to produce a document proving that he is the authorized account holder associated with the submitted entry.

Advertisement:

By participating in the Contest, the eventual winner authorizes the Contest Organizer to broadcast his name, city of residence, photograph, likeness, nickname and/or voice in any advertising relating to the Contest including, but without limitation, on LARYA's official Instagram account, without additional compensation or notice.

Protection of personal information:

Personal information provided by Contest entrants will be i) collected by the Contest Organizer; (ii) used solely for the purpose of administering the Contest, to communicate with potential winners to inform them that they are eligible to win one of the Prizes and to verify their eligibility for the Contest and (iii) accessible only by employees, agents or representatives of the Contest Organizer directly associated with the Contest and will not be disclosed to other persons.

By entering the Contest, each entrant consents to the collection, use, and disclosure of their personal information for the purposes and in the manner described above.

Terms and conditions:

The Contest is administered by the Contest Organizer. Any decision of the Contest Organizer relating to the Contest is final, definitive and without right of appeal and will be binding on the participants. The Contest is subject to the laws and regulations of the province of Quebec and the applicable federal and municipal laws and regulations. As a condition of participating in the Contest, to the extent permitted by law, each entrant acknowledges and agrees that any dispute or action arising out of or relating to the Contest shall be settled individually, without resort to any form of class action, and exclusively by the competent court of the judicial district of Montreal, Province of Quebec to the exclusion of any other jurisdiction and that the competent court will apply the law in force in the province of Quebec without regard to the rules or provisions regarding legislative jurisdiction or conflict of law. In addition, with the exception of expenses incurred by the participant to participate in the Contest, each participant waives all rights to claim punitive, incidental or consequential damages or any other damage, including the fees and extrajudicial disbursements of its attorneys.

Any dispute regarding the organization or conduct of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux du Québec for resolution. A dispute regarding the awarding of a prize may be submitted to the Régie des alcools, des courses et des jeux du Québec only for the purpose of their intervention in an attempt to settle it.

WARNING:

Any attempt to interfere with the legitimate operation of the Contest may constitute a violation of civil and criminal laws. In the event of such an attempt, the Contest Organizer reserves the right to immediately disqualify a person from the Contest and also the right to take legal action, including a claim for damages, against the ) person(s) responsible for this attempt, to the extent permitted by law.

In the event of any discrepancy or inconsistency between the terms of the French language version of these Official Rules and any disclosures or other statements contained in any materials relating to the Contest, including, without limitation, in-store, television, whether in print or online (including on social media), the terms of these Official Rules shall prevail, govern and take precedence.

In the event of a discrepancy between the French and English versions of these Official Rules, the French version will take precedence. In case of any discrepancy between the French and English versions of this Contest Rule and Regulation, the French version shall prevail.

Note that in these official rules, the masculine gender is used without any discrimination and only for the purpose of lightening the text.
